01Acceptance of these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and ie Brands, LLC, a Florida limited liability company doing business as Dialed (“Dialed,” “we,” “us,” or “our”), located at 7901 4th St N #300, Saint Petersburg, FL 33702. They govern your access to and use of feeldialed.com, our related pages and communications, and every purchase you make from us online or through a wholesale account (together, the “Services”).

By browsing the site, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Shipping Policy, Returns & Refunds Policy, and Disclaimer & Warnings, each of which is incorporated by reference. If you do not agree, do not use the Services.

02Eligibility and age verification

The Services are intended solely for adults who are at least 21 years of age. By using the Services you represent and warrant that you are 21 or older, that you are legally permitted to purchase and possess kratom products where you live and where your order will be delivered, and that any information you provide is accurate.

We use an age attestation at the start of every visit and again at checkout, and we may ask for government-issued identification before or after a sale, decline an order, or close an account if we cannot reasonably confirm your age. Providing false age information is a material breach of these Terms. We will refuse and refund any order we believe was placed by or for a person under 21.

03About the products

Dialed sells Tempo Kratom Extract Tablets (“Tempo”): a 250 mg kratom alkaloid blend per cross-scored tablet, made from a full-spectrum Mitragyna speciosa leaf extract standardized for mitragynine and combined with 13-OH Corydalis yanhusuo extract, marketed as a dietary supplement. Products are sold as the Tempo 1ct sachet (net wt 1.0 g (0.035 oz)) and the Tempo 4ct blister (1000 mg per pack, net wt 4.0 g (0.141 oz)), in three flavors: Mixed Berry Blast, Blue Razz Slush, and Strawberry Dream. Every lot is tested by an independent ISO/IEC 17025-accredited laboratory, and each lot is verified to contain less than the federal 7-hydroxymitragynine threshold. Our products contain no added 7-hydroxymitragynine and are not marketed as containing it.

Our products are not for use by anyone under 21. The statements on this site have not been evaluated by the U.S. Food and Drug Administration, and our products are not intended to diagnose, treat, cure, or prevent any disease. Nothing on the Services is medical advice. Please read the Disclaimer & Warnings page in full before purchasing, and consult a physician before use if you have a medical condition, are pregnant or nursing, or take medication.

Product descriptions, serving suggestions, images, and Certificates of Analysis are provided for information only. Tablet renderings on the site may be illustrations. Formulations, packaging, and lot-specific test results may change; the published COA for your lot number controls.

04Prohibited uses

You agree not to, and not to help anyone else to:

• Purchase, possess, or use our products if you are under 21 or if doing so is unlawful where you are;
• Resell or distribute products purchased at retail prices, or resell wholesale products outside the terms of a written wholesale agreement with us;
• Ship, forward, or divert products into any jurisdiction where kratom is prohibited, or provide a false or third-party address to evade our restricted-jurisdiction controls;
• Use the Services to make medical, therapeutic, or disease claims about our products, or to market them to minors;
• Scrape, crawl, reverse-engineer, interfere with, or attempt to gain unauthorized access to the Services, other accounts, or our systems;
• Submit false reviews, place fraudulent orders, initiate unwarranted chargebacks, or abuse discount codes or the satisfaction guarantee;
• Use our name, marks, or content in a way that suggests endorsement or affiliation without our written permission.

We may suspend or terminate access, cancel orders, and refuse future business for any violation of this section.

05Accounts

You may check out as a guest or create an account. You are responsible for maintaining the confidentiality of your password, for all activity under your account, and for keeping your contact and shipping details current. Notify us at support@feeldialed.com immediately if you suspect unauthorized use. We may close accounts that are inactive, duplicated, or used in violation of these Terms. Wholesale and distributor accounts are subject to additional written terms that control in the event of a conflict.

06Orders, pricing, and errors

All prices are in U.S. dollars and exclude applicable taxes and shipping, which are shown before you confirm your order. Placing an order is an offer to purchase; a contract is formed only when we accept the order by shipping it. An order confirmation email is an acknowledgment, not an acceptance. We may limit quantities per order, per account, or per household.

Despite our efforts, a product may occasionally be listed at an incorrect price or with incorrect information, or may become unavailable. We reserve the right to correct errors and to cancel any order affected by an error, including after your card has been charged, in which case we will issue a full refund. Discount codes may be limited by expiration, minimum purchase, or number of uses and cannot be combined unless stated. Wholesale pricing published on the site is for verified retail businesses only; distributor pricing is provided by quotation.

07Payment

Payments are processed by Authorize.net. Your card details are entered into a secure form served by Authorize.net and tokenized in your browser; we receive only a one-time payment token, the card brand, and the last four digits. We never see or store your full card number. By submitting an order you authorize us (through Authorize.net) to charge the full order amount, including shipping and taxes, to the payment method you provided. If a charge is declined we may cancel the order. You agree to contact us before initiating a chargeback so that we can resolve any issue; chargebacks initiated in bad faith may result in account termination and collection of amounts owed.

08Shipping and risk of loss

We ship within the United States only, from Florida, via USPS, under the terms described in our Shipping Policy. Title to and risk of loss for products pass to you when we tender the package to the carrier. Delivery estimates are estimates, not guarantees. You are responsible for providing a complete, accurate shipping address; we are not responsible for packages delivered to an address you entered incorrectly, and we may charge re-shipping costs for packages returned to us as undeliverable.

09Restricted jurisdictions

Kratom laws vary by state, county, and city and change frequently. We do not sell or ship to addresses in Alabama, Arkansas, Indiana, Rhode Island, Vermont, Wisconsin, or to any county or municipality where we know kratom is prohibited. A list of jurisdictions we currently block is maintained on our Shipping Policy. Orders placed to a restricted address will be cancelled and refunded, less any costs we cannot recover if the order was placed using a misleading address.

It is your responsibility to know and comply with the laws that apply to you. Our restricted list is maintained in good faith but is not a legal opinion, may not be exhaustive, and may lag behind changes in the law. Placing an order is your representation that receiving, possessing, and using the product is lawful at the destination.

10Returns and the satisfaction guarantee

Retail orders are covered by our 30-day satisfaction guarantee and the return conditions set out in our Returns & Refunds Policy, which is part of these Terms. Wholesale orders are final except for damaged or incorrect goods reported within seven days of delivery.

11Intellectual property

The Services, including all text, graphics, logos, product names, tablet designs, packaging, photographs, page layouts, and software, are owned by or licensed to ie Brands, LLC and are protected by U.S. and international copyright, trademark, and other laws. “Dialed,” “Tempo,” the Dialed wordmark, and the Tempo dial mark are trademarks of ie Brands, LLC. Corydalis Labs and other third-party names are the property of their respective owners and are used for identification only. You may view and print pages for personal, non-commercial use. Any other use, including reproduction, republication, or creation of derivative works, requires our prior written consent.

12Reviews and user content

If you submit a review, comment, photo, testimonial, or other content (“User Content”), you grant ie Brands, LLC a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, edit, publish, translate, and display that content in any media for any purpose connected with our business, with or without attribution to your first name and last initial. You represent that you own or have the rights to the content, that it is truthful and based on your genuine experience, that you are 21 or older, and that it does not contain medical or disease claims, third-party personal information, or unlawful material.

We moderate reviews before publication and may decline, edit for length, or remove any User Content at our discretion. We may verify that a reviewer purchased the product and label reviews accordingly. Reviews reflect individual experiences and are not a guarantee of results.

13Disclaimer of warranties

EXCEPT AS EXPRESSLY PROVIDED IN OUR RETURNS & REFUNDS POLICY, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, IE BRANDS, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PRODUCT WILL PRODUCE A PARTICULAR EFFECT OR RESULT.

Some states do not allow the exclusion of implied warranties, so some of the above may not apply to you.

14Assumption of risk and health warnings

Kratom and kratom extracts are botanical products with pharmacologically active alkaloids. You acknowledge and agree that you have read the Disclaimer & Warnings, that you are purchasing and using our products voluntarily and at your own risk, and that you understand the following:

• Do not use if you are pregnant, nursing, or trying to become pregnant.
• Consult a physician before use if you have any medical condition, including liver, kidney, heart, or mental-health conditions, or if you take any medication, because interactions are possible.
• Do not drive or operate machinery after use. Do not combine with alcohol, sedatives, opioids, or other substances.
• Kratom products may be habit-forming and may cause dependence, tolerance, and withdrawal with regular use. Use responsibly and take breaks.
• Individual responses vary. Start with half a tablet. Discontinue use and seek medical attention if you experience adverse effects.

You agree that you are solely responsible for determining whether our products are appropriate for you and for using them as directed.

15Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IE BRANDS, LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, SUPPLIERS, CO-PACKERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, THE PRODUCTS, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE ORDER GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. These limitations are fundamental elements of the bargain between you and us and apply to the fullest extent permitted by applicable law; some jurisdictions do not allow certain limitations, so some may not apply to you.

16Indemnification

You agree to defend, indemnify, and hold harmless ie Brands, LLC and its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your violation of any law or third-party right, your misuse of the products (including use by a minor to whom you gave access, use contrary to the label, or shipment into a restricted jurisdiction), or any User Content you submit.

17Dispute resolution, arbitration, and class action waiver

Please read this section carefully. It affects your legal rights.

Informal resolution first

Before starting any formal proceeding, you agree to email support@feeldialed.com with a description of the dispute and your requested resolution, and to give us 30 days to respond. Most concerns are resolved this way.

Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any product, that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitrator, not any court, has exclusive authority to resolve disputes about the scope, validity, or enforceability of this agreement to arbitrate. Arbitration may be conducted by video, phone, or written submission, or in Pinellas County, Florida, at your election. AAA fees will be allocated under the AAA rules; if the arbitrator finds your claim was not frivolous, we will reimburse your filing fee.

Class action waiver

YOU AND IE BRANDS, LLC EACH AGREE THAT DISPUTES WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court, not in arbitration, and will be stayed pending arbitration of the remaining claims.

30-day opt-out

You may opt out of this arbitration agreement by sending a written notice with your name, address, email, and a clear statement that you wish to opt out to ie Brands, LLC, 7901 4th St N #300, Saint Petersburg, FL 33702, or by email to compliance@feeldialed.com, within 30 days of your first purchase or first acceptance of these Terms, whichever is earlier. Opting out does not affect any other part of these Terms.

Excluded claims, governing law, and venue

Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property. These Terms and any dispute are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law principles. For any claim that is not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Pinellas County, Florida, and waive any objection to that venue. To the extent permitted by law, any claim must be filed within one year after it arises.

18General terms

These Terms, together with the policies incorporated by reference and any written wholesale agreement, are the entire agreement between you and us regarding the Services. If any provision is held invalid, the remainder will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Notices to you may be sent to the email on your account. Headings are for convenience only. Nothing in these Terms creates a partnership, agency, or employment relationship.

19Changes to these Terms

We may update these Terms from time to time, including to reflect changes in the law governing kratom. The “Last updated” date at the top shows when the current version took effect. Material changes will be noted on this page and, for account holders, by email. Your continued use of the Services after a change becomes effective means you accept the revised Terms; the version in effect when you placed an order governs that order.
